End User License Agreement (EULA)

License Grant

"You" refers to the individual or organization licensed to use the software. "We," "us," and "our" refer to ExcelWorks LLC, the exclusive owner of all rights, title, and interest in the software. We grant you a non-exclusive, non-transferable license to access and use the ExceLab 365 Calculus Functions Add-in (the "Software") through Microsoft 365 cloud services in accordance with this Agreement.

Ownership

The Software is licensed, not sold, for the duration of your subscription term. ExcelWorks LLC retains all rights, title, and intellectual-property ownership in the Software.

Disclaimer of Warranty

We have made every effort to develop and test the Software; however, the Software is provided "as is" without warranties of any kind. We make no representation regarding fitness for any specific purpose. To the fullest extent permitted by law, we disclaim all implied warranties, including warranties of title, non-infringement, merchantability, and fitness for a particular purpose.

ExcelWorks LLC shall not be liable for any loss of profit, interruption of business, or for any indirect, incidental, or consequential damages arising out of the use or inability to use the Software, even if advised of the possibility of such damages.

Server Availability

The Software requires an active internet connection and depends on external servers. While we strive to maintain continuous service, servers may occasionally experience downtime due to maintenance or unforeseen events. During such periods, the Software may be temporarily unavailable. We make no warranty of uninterrupted operation and shall not be liable for losses resulting from any downtime.

Restrictions

The Software is protected by U.S. copyright law, patents 10628634, 10114812, 9892108, and 9286286, trade-secret laws, and international treaties. You may not:

  1. Reverse-engineer, decompile, or disassemble the Software.
  2. Modify or attempt to bypass the copy-protection mechanisms.
  3. Make the Software publicly accessible via a shared or networked environment.
  4. Sublicense, rent, lease, or lend the Software to any third party.

Transfers

You may not assign, sublicense, or otherwise transfer this license without our prior written consent.

Term and Termination

This Agreement takes effect upon your first use of the Software and remains in force until terminated. You may terminate it at any time by discontinuing use of the Software. We may terminate this Agreement immediately if you breach any term. Upon termination, you must cease all use of the Software. Fees paid are non-refundable, except where prohibited by applicable law.

Feedback

If you choose to provide feedback, comments, or suggestions about the Software, you grant ExcelWorks LLC a perpetual, irrevocable, royalty-free license to use and incorporate such feedback without obligation or compensation. We may already possess or be developing similar ideas.

General Provisions

  1. This Agreement constitutes the entire agreement between you and ExcelWorks LLC regarding the Software and supersedes any prior communications or representations.
  2. Any modification of this Agreement must be in writing and signed by both parties.
  3. You agree not to export or use the Software in violation of U.S. export laws or regulations.
  4. This Agreement is governed by the laws of the Commonwealth of Massachusetts, USA. If any provision is found invalid or unenforceable, the remaining provisions remain in effect.
